- The Buyer will not re-label, re-package, distribute, or resale these products for human or therapeutic use, nor misrepresent these products as drugs, dietary supplements, cosmetics, or medical devices.
- The Buyer assumes complete liability for compliance with all applicable federal, state, local, and international laws, regulations, and institutional policies governing the purchase, receipt, possession, and use of RUO compounds.
4. Product Quality, HPLC & Mass Spectrometry Verification
Prime Focus Bio makes every effort to ensure batch consistency, purity, and chemical identity through High-Performance Liquid Chromatography (HPLC) and Mass Spectrometry (MS) testing. However, all products are supplied “AS IS” for experimental and analytical evaluation only. Prime Focus Bio makes no warranties, express or implied, regarding merchantability or fitness for a particular non-research application.
5. Limitation of Liability & Indemnification
Under no circumstances shall Prime Focus Bio, its parent entities, officers, directors, employees, or suppliers be held liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of the handling, storage, misuse, or application of its products.
The Buyer agrees to indemnify, defend, and hold harmless Prime Focus Bio and its affiliates against any and all claims, liabilities, losses, costs, or expenses (including attorney fees) resulting from the Buyer’s failure to comply with these Terms, breach of buyer warranties, or improper handling/use of the products purchased.
6. Orders, Refusal of Sale & Account Cancellation
Prime Focus Bio reserves the right to refuse service, cancel orders, limit order quantities, or close customer accounts at its sole discretion without prior notice if we suspect, or have reason to believe, that a customer intends to misuse products for non-laboratory or human purposes.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.
